## Eight diligence workstreams.

The room is organised the way a professional MedTech diligence process usually unfolds: company and transaction first, then product, evidence, IP, regulatory, market access, financials and execution risk.

[01Company & transaction](#company)[02Product & engineering](#product)[03Clinical & evidence](#clinical)[04IP & freedom to operate](#ip)[05Regulatory & QMS](#regulatory)[06Market & reimbursement](#market)[07Financial & fundraising](#financial)[08Risks & closing conditions](#risk)

Master document register

## What exists, what is restricted, and what is still a gap.

“Available” means a diligence source is currently published on MedicalCooling.com or in an official public register. “Restricted” means the existing material is described by the company but is not published here. “Gap” means the current public materials explicitly identify the item as unresolved or not yet documented.

Key diligence flags

## Material issues already surfaced before an investor asks.

These are not hidden in footnotes. They are the issues most likely to affect valuation, closing conditions or the next value-inflection milestone.

Founder-controlled IP
### Concentrated ownership simplifies the corporate IP step

The granted European and US patents are held solely by founder and inventor Fabian Temme. The university is no longer part of the patent ownership structure, avoiding institutional co-ownership and multi-party negotiations. The remaining step is a direct assignment or exclusive, worldwide, sublicensable licence from the sole patent holder to the operating company as part of the financing structure.

Evidence risk
### Clinical benefit is not established

The existing evidence section explicitly distinguishes mechanism and technical findings from future clinical efficacy. Prior airway-cooling trials in the field are part of the risk context.

Regulatory
### Class IIb remains preliminary

The public investor material does not present the classification as final and allocates material funding to QMS, regulatory affairs and verification/validation.

Execution
### Founder-capacity terms need documentation

The investor material states that weekly hours, compensation, transition date and employment/IP terms are not yet documented.

Restricted vault

## Confidential materials belong behind controlled access.

The public room is deliberately not a file dump. Transaction-sensitive documents should move into a controlled-access vault with named investor access, NDA status, document versioning and a download/audit trail.

Investor access

## Start with the public evidence. Request the restricted room when the fit is real.

The objective is a faster, cleaner diligence process: fewer unsupported claims, fewer hidden surprises and a clear distinction between public evidence, confidential documents and unresolved work.
